Terms of Use Agreement

1. Agreement Between You and Girls Write Now

This Terms of Use Agreement (the “Terms of Use”) states the terms and conditions under which you may use this website (the “Site”), operated by Girls Write Now (“Girls Write Now,” “we,” “us,” or “our”). We are a nationally award-winning 501(c)(3) nonprofit, media brand, and multi-generational community breaking down the barriers of gender, age, race, and poverty to mentor, teach, and connect writers and leaders across disciplines and around the nation.

By accessing or using the Site, you agree to be bound by these Terms of Use and by all applicable federal, state, and local laws and regulations. If you do not agree to these Terms of Use, please do not use the Site.

2. Privacy

We value and respect your privacy. If you use the Site, you agree that your activities on it are covered by our Privacy Policy, which is incorporated into these Terms of Use by reference. Please review it to understand how we collect, use, and protect information.

3. Children and Minors

Girls Write Now works directly with young writers. We do not knowingly collect personal information from children under 13 through the Site without appropriate consent. If you are under 18, you should review these Terms of Use with a parent or guardian, and you may use the Site only with their involvement and consent where required.

4. Electronic Communications

When you visit the Site or send communications to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the Site, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

5. Your Account

We may ask you to create a user account in the Girls Write Now Portal (the “Portal”) in order to access certain resources we offer. If you choose to create an account, you agree to provide only true, accurate, current, and complete information. You accept responsibility for all activities that occur under your account or password, and you agree not to sell, transfer, or assign your account or allow others to use it. You are responsible for maintaining the confidentiality of any username and password assigned to or selected by you, so that others may not access restricted resources on this Site using your account or identity.

We reserve the right, in our sole discretion and without notice to you, to terminate your account and/or to restrict your access to all or part of this Site for any reason.

6. Use of Publications, Trademarks, and Logos

This Site contains a variety of articles; press releases; photographs; written and multimedia content created by our youth participants (“mentees”), adult volunteers (“mentors”), and a combination of light touch mentees and mentors, alumni, and other participants (“members”); newsletters and blog posts; video broadcasts; interviews with personnel, corporate and community partners, mentees, mentors, members, and other community members; reports; and other materials and resources (collectively, “Content”). You acknowledge that this Site contains Content protected by copyrights, trademarks, service marks, or other proprietary rights, and that these rights are valid and protected in all forms, media, and technologies existing now or hereafter developed.

You acknowledge that Content created by our mentees, mentors, and members (each a “Contributor”) is and shall remain the property of that Contributor. Girls Write Now does not claim ownership of Contributor work; our right to publish or display it on the Site is governed by separate consent and release agreements with each Contributor. Girls Write Now owns or otherwise holds rights to the remaining Content on the Site, including its own publications, trademarks, and logos.

You are permitted to download information from the Site for your own personal, informational use. You may not copy, distribute, adapt, transmit, or sell Content from this Site without our express written permission. You may not use or duplicate any Girls Write Now logos or trademarks without our express written permission. You may not suggest any relationship with, or endorsement or affiliation by, Girls Write Now unless you obtain our express written permission. For any other use, you must obtain our express written permission.

7. Third-Party Content

We respect copyright and trademark laws. Third-party material may appear on the Site, and those creators retain all rights to their works, except where noted.

8. Links to Third-Party Sites and Services

Links on the Site that lead to outside services and resources are provided for your convenience only. We do not control, and are not responsible for, the accuracy or availability of those outside services and resources, nor do we endorse those organizations or the information they provide. If you decide to access any linked third-party site or service, you do so at your own risk and subject to that third party’s own terms and policies. Any concerns regarding a third-party service, resource, or link should be directed to that third party.

9. No Unlawful or Prohibited Use

As a condition of your use of the Site, you warrant that you will not use the Site for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use of it. You may not attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site through hacking, password mining, or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site.

10. Copyright Complaints

We respect the intellectual property of others. If you believe that your work has been copied and is accessible on the Site in a way that constitutes copyright infringement, please contact us at the address in the “Contact Us” section with the information reasonably necessary for us to locate and review the material.

11. Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR SOLE RISK. THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS INCLUDED IN OR AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS, AND CHANGES ARE PERIODICALLY MADE TO THE INFORMATION HEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIRLS WRITE NOW AND/OR ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH RESPECT TO THE SITE AND ITS CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIRLS WRITE NOW AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, THE DELAY OR INABILITY TO USE THE SITE, OR THE PROVISION OF OR FAILURE TO PROVIDE ANY CONTENT, SERVICES, OR INFORMATION AVAILABLE THROUGH THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

13. Indemnification

You agree to indemnify and hold harmless Girls Write Now and its affiliates, officers, directors, employees, and volunteers from any claim or demand, including reasonable attorneys’ fees, made by any third party due to, arising out of, or related to your use of this Site, your violation of these Terms of Use, or your infringement of any intellectual property or other right of any person or entity.

14. International Users

The Site is controlled, operated, and administered by Girls Write Now from within the United States. If you access the Site from a location outside the United States, you are responsible for compliance with all local laws. You agree that you will not use the Content accessed through the Site in any country or in any manner prohibited by applicable laws, restrictions, or regulations.

15. Termination and Access Restriction

We reserve the right, in our sole discretion, to terminate your access to the Site and its related services, or any portion of them, at any time and without notice. Any provisions of these Terms of Use that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, limitations of liability, and indemnification.

16. Governing Law and Disputes

These Terms of Use are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms of Use or the Site will be resolved in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

17. About These Terms

If we do not immediately take action to address a violation of these Terms of Use, we are not waiving our right to take action in the future. If any particular provision of these Terms of Use is found to be unenforceable, that provision will be severable and will not affect the validity or enforceability of the remaining provisions. These Terms of Use constitute the entire agreement between you and Girls Write Now regarding your use of the Site.

18. Changes to These Terms of Use

We reserve the right to make changes to any information or services on this Site, including these Terms of Use, without notice to you. The most current Terms of Use will be posted here on the Site, along with the date of the most recent update, and will be effective upon posting. Please return to this page periodically to review the most current version of these Terms of Use. Your continued use of our website after the date that such changes are made will be deemed to be your agreement to the changed terms.
